The IMPACT Governance System™

A practical operating system for governance and leadership in mission-driven organisations.

Many charities and mission-driven organisations have strong values, committed leaders and clear intentions — yet governance challenges still arise.

These challenges rarely stem from a single issue. Instead, they often reflect a lack of alignment between strategy, governance structures, leadership culture, performance oversight and stakeholder accountability.

The IMPACT Governance System™ was developed through extensive practical work with charities, housing organisations and community bodies across Ireland and the UK.

It provides a clear and practical way for boards and leadership teams to understand and strengthen these interconnected elements.

The system focuses on six core elements that underpin effective governance and organisational leadership.

A System, Not a Set of Tools

The IMPACT Governance System™ is a structured model for understanding and strengthening governance and leadership across an organisation.

It has been developed through extensive practical work with charities, housing organisations and community bodies across Ireland and the UK.

Rather than focusing on individual policies or isolated improvements, the system takes a whole-organisation view — recognising that governance effectiveness depends on how different elements interact.

At its core are six interconnected elements:

I — Intent

Purpose and Strategic Direction

Strong organisations begin with clarity of purpose.

Boards play a critical role in ensuring that the organisation has a clear vision, focused strategic priorities and a shared understanding of long-term direction.

Intent focuses on:

  • organisational purpose

  • vision and mission

  • strategic priorities

  • board engagement with strategy

Key question for boards:

Are we clear about where the organisation is going?

M — Mandate

Governance Authority and Board Effectiveness

Boards must have the authority and structures needed to govern effectively.

Mandate focuses on ensuring that governance arrangements support effective oversight, decision-making and accountability.

This includes:

  • board roles and responsibilities

  • governance structures and committees

  • board composition and skills

  • governance policies and frameworks

Key question:

Do we have the governance structures needed to lead effectively?

P — Performance

Delivering Strategy and Monitoring Results

Boards are responsible for ensuring that strategy translates into meaningful outcomes.

Performance focuses on how organisations monitor delivery of strategic priorities and how boards maintain visibility of organisational performance.

This includes:

  • operational planning

  • organisational performance indicators

  • leadership accountability

  • board reporting on progress

Key question:

Are we achieving the outcomes we set out to deliver?

A — Assurance

Risk, Compliance and Oversight

Boards must have confidence that the organisation is well governed and operating responsibly.

Assurance focuses on systems that enable boards to oversee risk, compliance and organisational accountability.

This includes:

  • risk management frameworks

  • regulatory compliance

  • financial oversight

  • governance assurance mechanisms

Key question:

Do we have confidence the organisation is well governed and compliant?

C — Culture

Leadership Behaviour and Organisational Values

Governance is shaped not only by structures but by leadership culture.

Boards influence organisational culture through the behaviours they model and the expectations they set for leadership teams.

Culture focuses on:

  • leadership behaviours

  • board–executive relationships

  • organisational values

  • openness and accountability

Key question:

Does our leadership culture support effective governance?

T — Trust

Stakeholder Confidence and Organisational Legitimacy

Ultimately, strong governance builds trust.

Trust reflects the confidence that stakeholders, communities and funders place in an organisation’s leadership and governance.

This includes:

  • stakeholder relationships

  • transparency and accountability

  • demonstrating impact

  • maintaining public confidence

Key question:

Do stakeholders trust the organisation and its leadership?

Organisations typically engage with the system through three stages:

IMPACT Health Check™

A short self-assessment tool that helps boards reflect on governance across the six elements.

IMPACT Diagnostic™

The IMPACT Diagnostic builds on our Governance Health Check, offering a facilitated and evidence-informed assessment of governance across your organisation.

Explore Your Governance in Practice

Most organisations benefit from taking a step back to reflect on how their governance operates across the six elements.

The IMPACT Health Check™ provides a practical starting point for that reflection.

What This Looks Like in Practice

The IMPACT Health Check™ translates the system into a practical tool for boards and leadership teams.

It provides a clear, visual overview of governance performance across the six elements.

A visual governance “wheel” highlights strengths and areas requiring attention, helping boards quickly identify priorities.

A structured summary provides average scores and an indicative status across each element.

Most organisations identify two or three priority areas within minutes of completing the assessment.

In practice, organisations often demonstrate strong clarity of intent, with more variation across mandate, performance and assurance — reflecting the challenge of translating strategy into consistent delivery and oversight.
