Introduction

Strong organisations do not rely on governance structures alone. They require clarity of purpose, effective leadership, strong oversight and the trust of the communities they serve.

Through our work with charities, Approved Housing Bodies and social purpose organisations across Ireland and the UK, we see that governance challenges rarely arise from a single issue. They typically emerge when different elements of governance, leadership and strategy become misaligned.

The IMPACT Governance System™ was developed to provide boards and leadership teams with a clear and practical way of understanding how strong organisations operate.

The system focuses on six interconnected elements that underpin effective governance and organisational leadership.

I — Intent

Purpose and Strategic Direction

Strong organisations begin with clarity of purpose.

Boards play a critical role in ensuring that the organisation has a clear vision, focused strategic priorities and a shared understanding of long-term direction.

Intent focuses on:

Key question for boards:

Are we clear about where the organisation is going?

M — Mandate

Governance Authority and Board Effectiveness

Boards must have the authority and structures needed to govern effectively.

Mandate focuses on ensuring that governance arrangements support effective oversight, decision-making and accountability.

This includes:

  • board roles and responsibilities

  • governance structures and committees

  • board composition and skills

  • governance policies and frameworks

Key question:

Do we have the governance structures needed to lead effectively?

P — Performance

Delivering Strategy and Monitoring Results

Boards are responsible for ensuring that strategy translates into meaningful outcomes.

Performance focuses on how organisations monitor delivery of strategic priorities and how boards maintain visibility of organisational performance.

This includes:

  • operational planning

  • organisational performance indicators

  • leadership accountability

  • board reporting on progress

Are we achieving the outcomes we set out to deliver?

A — Assurance

Risk, Compliance and Oversight

Boards must have confidence that the organisation is well governed and operating responsibly.

Assurance focuses on systems that enable boards to oversee risk, compliance and organisational accountability.

This includes:

  • risk management frameworks

  • financial oversight

  • governance assurance mechanisms

C — Culture

Leadership Behaviour and Organisational Values

Governance is shaped not only by structures but by leadership culture.

Boards influence organisational culture through the behaviours they model and the expectations they set for leadership teams.

Culture focuses on:

  • organisational values

  • openness and accountability

Key question:

Does our leadership culture support effective governance?

T — Trust

Stakeholder Confidence and Organisational Legitimacy

Ultimately, strong governance builds trust.

Trust reflects the confidence that stakeholders, communities and funders place in an organisation’s leadership and governance.

This includes:

  • stakeholder relationships

  • transparency and accountability

  • demonstrating impact

  • maintaining public confidence

Do stakeholders trust the organisation and its leadership?
